What legal form I need to sell art?
Hello. I am an artist who designed the graphics that go on t-shirts, bags, etc. My rate art and character are protected under my LLC. However, a company wants my designs to go in their stores. In addition to a general bill of sale form, What else do I have to fill out to make sure my work is still as my property? In a sense, he will "rent" my character art, so I need something to protect something. Greetings

A native of Jackson, Mississippi, Sela, an only child from a single parent home, moved to Long Island City while attending a famous NYC design school. It broke her heart to leave her mother alone, but they both knew it was for the best.
After obtaining her degree, Sela was immediately hired as a graphic artist at a local Silicon Alley company. After a few years, she was heading up the same department with a promising future with the company. However, her Silicon Alley employer was not doing well in the current economic climate and the company was heading towards closing their New York location. They offered certain employees the opportunity to relocate to their headquarters in San Francisco – Sela was on board.
Unfortunately, right before her big move to San Francisco, tragedy struck. Her Mother, out for a leisurely evening walk, was struck by a car; Sela left New York immediately. Her mother had a compound fracture in her right leg and it was going to take a long time to heal. Sela, a self-professed “Momma’s Girl”, knew that she was going to be in Jackson for quite some time. Sela’s employer gave her her remaining vacation and banked days. In the meantime, she started to wrap-up her New York life from a distance.
Her employer did not want to loose her – Sela was way too talented. They worked out a deal where they would hire Sela as a freelance graphic designer, Sela agreed. She would be able to work from a distance without a problem. She always wanted to start her own firm, needed to take care of her mother, and saw this as her golden opportunity to be her own boss!
Sela searched online for a way to make her situation work. She realized that forming her company and renting a business address with mail forwarding would work perfectly for her. During her searches she found VH International Business Solutions’ office perfectly situated just a few blocks from her former Silicon Alley office – She loved the neighborhood!

What should I do for my company, Corporation, LLC, Copyright?
I dont know to much about the legal system or what is best for me. Right now I own around 10 websites, and one of them is my main one. I would like to get some sort of protection for my all my sub-sites that fall under my 1 main site.
I am not sure what path is right for me. I have no employees as of yet, just myself. I believe a LLC would allow me to not be attacked personally during a lawsuit, only the company. I am not sure if a corporation would be right for me, what do they involve?
Also since my work is all online based, would it be possible for me to copyright my scripts, graphics, logos all that under the same copyright?
I am just looking for a little guidance if you have any, or any past experiences that you may of had which will enlighten me on these issues.

Ok, the benefits of a limited liability company (partnership LLC or corp for example) versus sole trader status is technically one of liability. Having said that, as an officer of the company you can still be sought by litigators, but your exposure is limited unless you have been criminal in your actions.
Banks and other creditors will often want guarantees from small business owners before they grant lines of credit or open facilities.
The LLC benefits groups of individuals – each individual is limited in their liability, but not liable (generally) for the actions of other partners (including their tax). The situation varies depending in which jurisdiction the LLC is formed. Limited companies require a bit more paperwork and reporting, but the structure is well and good for holding trademarks. With both you can bring in investment (in return for allocations or shares), something you can’t do as an individual.
As for copyright, you do have an implied copyright for your original intellectual property (you should have your license and terms of use on the sites – search for creative commons licence for templates). You can transfer this implied right to a company structure when you form the company (using the articles and memorandums). However, enforcing your rights is no easier as a company.
With regards legal protection, the limited corp is probably the way to go; you should also familiarise yourself with the regulations in the countries you serve. It’s a bit of a minefield out there.
Of course, if your revenue is high enough to support an attorney, you should seek professional advice with regards structure, jurisdiction, IP and trading online (don’t rely on company formation agents to give you the best advice!).
